Tally commitment deposits are made in USDC, a US-dollar stablecoin, on the Base blockchain. Your wallet, the purchase of USDC, and cashing out to your bank are all provided by Coinbase. Coinbase performs all identity verification and handles all fiat payments. Tally never takes custody of your fiat currency or your private keys. Blockchain transactions are irreversible. By creating an account and using these features, you also agree to Coinbase's terms, incorporated in Section 9.

Part One: Introduction and Acceptance

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TallyHQ, Inc., a Delaware corporation ("Tally," "we," "us," or "our"). These Terms govern your access to and use of the Tally mobile application, website, smart contracts, and all related services (collectively, the "Service").

BY CREATING AN ACCOUNT, ACCESSING THE SERVICE, OR CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND, AS DESCRIBED IN SECTION 9, BY THE COINBASE AGREEMENTS THAT GOVERN YOUR WALLET AND USDC TRANSACTIONS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. Age Requirement and Eligibility

YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE THE SERVICE.

By using the Service, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Are not prohibited by applicable law from using the Service
  • Are a resident of the United States or Canada (excluding the province of Quebec)
  • Are eligible to open and use a Coinbase-provided wallet under Coinbase's own terms
  • Will provide accurate and complete information during registration and verification

If we discover that a user is under 18, their account will be suspended, active habits will be resolved or unwound, and any remaining balance will be made available for withdrawal.

3. Geographic Restrictions

The Service is available only to residents of the United States and Canada, excluding the province of Quebec due to compliance considerations under Quebec's Law 25. The Service is not available in any jurisdiction where voluntary financial commitment deposits, stablecoin transactions, or the underlying Coinbase services are prohibited or restricted by law.

4. Modifications to Terms

Tally reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes, posted at tally.kitchen/terms. Continued use of the Service after the effective date of revised Terms requires your re-acceptance of those Terms.

Part Two: The Service, Wallets, and Funds

5. Description of Service

Tally is a personal accountability platform that lets you create and manage habits backed by voluntary commitment deposits denominated in USDC on the Base blockchain. The Service includes:

  • Photo-verified habits using AI image analysis
  • Screen Time habits using Apple's Family Controls framework
  • HealthKit habits using Apple Health data
  • DNS/website habits using an encrypted DNS resolver
  • Social features, including accountability partnerships
  • A Coinbase-provided wallet for holding and moving USDC on the Base blockchain

6. Nature of the Service

Tally is a personal commitment device. The Service is NOT gambling, a lottery, a prediction market, a sweepstakes, an investment product, or a securities offering. All outcomes are determined by objective, verifiable criteria you control — not by chance. You set every parameter of your habits, including the commitment amount, verification method, frequency, and accountability partner. You are never paid by Tally for completing a habit; on success your own deposit is simply returned to you.

7. Smart Contracts and the Blockchain

Habits are backed by the Tally escrow smart contract deployed on Base mainnet. You acknowledge and agree that:

  • Blockchain transactions are irreversible once confirmed
  • Habit parameters are immutable once committed to the smart contract
  • Tally acts as the oracle that resolves habit outcomes on-chain
  • Tally's administrative keys control resolution but cannot redirect escrowed funds to Tally itself
  • A safety mechanism defaults a habit to PASS (returning your deposit) if no resolution is submitted within the safety window
  • Network gas fees for your transactions are sponsored by Tally via the Coinbase Developer Platform Paymaster
  • Tally is not responsible for smart-contract bugs, oracle failures, or Base network outages, except to the extent required by law

8. Your Wallet, USDC, and Digital Assets

When you create an account, the Coinbase Developer Platform automatically provisions an embedded wallet and an ERC-4337 smart wallet associated with your account. You acknowledge and agree that:

  • Your wallet's private keys are generated and secured by Coinbase's key-management infrastructure. Tally never has access to, and never stores, your private keys or recovery material.
  • You are responsible for maintaining the security of your account credentials and your device
  • USDC is a US-dollar-denominated stablecoin; its value may not always equal one US dollar, and it is not guaranteed
  • USDC held in your wallet is not a deposit and is not insured by the FDIC, SIPC, or any other authority
  • You are solely responsible for all taxes arising from your use of the Service

9. Coinbase Services and Incorporated Terms

Your wallet, your purchases of USDC, and your withdrawals of USDC to fiat are provided by Coinbase, Inc. and its affiliates ("Coinbase"), not by Tally. Tally integrates the following Coinbase services:

  • Coinbase Developer Platform (CDP) Embedded Wallets — provisions and secures your wallet
  • Coinbase Onramp / Coinbase Pay — lets you buy USDC with Apple Pay
  • Coinbase Offramp — lets you sell USDC and receive fiat to your bank account

BY CREATING A TALLY ACCOUNT (WHICH PROVISIONS A COINBASE WALLET), AND BY BUYING OR CASHING OUT USDC THROUGH THE SERVICE, YOU AGREE TO BE BOUND BY THE FOLLOWING COINBASE AGREEMENTS, EACH OF WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE:

Coinbase is solely responsible for its services, including wallet security, fiat payment processing, identity verification, payout to your bank, and its own fees. Your relationship with Coinbase for these services is directly between you and Coinbase. To the extent Coinbase's terms conflict with these Terms with respect to a Coinbase-provided service, Coinbase's terms govern that service. Tally is not liable for acts or omissions of Coinbase. Coinbase may decline, limit, or suspend service to you under its own terms, independent of your Tally account.

10. Funding and Cashing Out

10.1 Adding Funds (On-Ramp)

You add USDC to your wallet through Coinbase Onramp using Apple Pay. Coinbase processes the payment, performs any required identity verification, and delivers USDC to your wallet address. Per-order purchase limits are set by Coinbase's Apple Pay Guest Checkout (currently up to $500 per order). Tally does not see or store your card, bank, or Apple Pay credentials.

10.2 Cashing Out (Off-Ramp)

You withdraw funds by selling USDC through Coinbase Offramp, which pays out to your linked bank account or other Coinbase-supported method. Coinbase owns the identity verification (KYC), quote, payout-method selection, and bank transfer for cash-outs. A minimum cash-out amount applies (currently $5.00). Before Tally releases USDC from your wallet for a cash-out, it validates the amount on-chain. Cash-out is available only when the Service operates on mainnet.

10.3 Your Funds Are Your Own

USDC in your wallet that is not committed to an active habit remains available to you and may be withdrawn at any time through Coinbase Offramp, subject to Coinbase's terms, applicable minimums, and network conditions.

11. Tally Is Not a Bank, Money Transmitter, or Custodian

Tally is not a bank, money transmitter, money services business, broker-dealer, exchange, or custodian.

Your wallet, and the purchase and sale of USDC, are provided by Coinbase. Coinbase performs all identity verification (KYC) and handles all fiat payments. Tally never takes custody of your fiat currency or your private keys, and never holds your funds off-chain. Funds you commit to a habit are held by an autonomous smart contract on the Base blockchain — not by Tally — and are released on-chain according to the verified outcome. Tally's role is limited to operating the application and acting as the oracle that reports habit outcomes to the smart contract.

Part Three: Habits and Commitment Deposits

12. Habit Creation

When creating a habit, the following rules apply:

  • Minimum commitment: $0 (free) per day — a financial commitment is optional
  • Maximum commitment: $100.00 per day
  • You must hold sufficient USDC in your wallet to fund the habit
  • Partner habits: if either party has insufficient balance, both linked habits are paused
  • Custom habit names are limited to 100 characters

13. Habit Deletion and Modification

  • Daily habits: deletion is effective at the end of the following day
  • Weekly habits: deletion is effective at the end of the current week
  • Deletion is permanent and irreversible
  • Most habit parameters cannot be edited once the habit is active
  • Linked partner habits are terminated simultaneously

14. Habit Recipients and the Community Pool

14.1 Partner Recipients

When you do not complete a habit that has a designated accountability partner, the committed USDC is automatically transferred on-chain to your partner's wallet as part of the mutual accountability agreement you both opted into. The reverse applies to your partner's linked habit.

14.2 Solo Habits and the Community Pool

For solo habits without a designated partner, an unreturned commitment deposit is transferred to the Tally community pool at wallet address 0x80D8f46fe121c19e32696D6deb70b3b2EB80634C on Base mainnet. This address is controlled by TallyHQ, Inc.

DEPOSITS TRANSFERRED TO A PARTNER OR TO THE COMMUNITY POOL ARE FINAL AND NON-REFUNDABLE.

15. Verification Systems

15.1 Photo Verification

Photo-verified habits require a front and a back photo. Photos are analyzed by Google Gemini (primary) and Anthropic Claude (fallback). You receive two attempts per verification period. Photos are retained for 30 days, then permanently deleted; pass/fail records and AI reasoning notes are retained indefinitely for dispute review.

15.2 Screen Time Verification

Screen Time habits use Apple's Family Controls framework. A shield is applied to monitored apps when your threshold is exceeded. Revoking Screen Time authorization while such a habit is active is an Integrity Violation (Section 16).

15.3 DNS / Website Verification

DNS habits use an encrypted DNS resolver (NextDNS) to detect visits to website categories relevant to your habit. Disabling the DNS filter or otherwise bypassing the encrypted DNS connection while a DNS habit is active is an Integrity Violation (Section 16).

15.4 HealthKit Verification

HealthKit habits use read-only access to Apple Health data, limited to daily aggregate totals for the metrics your habit requires. Health data is never used for advertising.

16. Account Integrity

16.1 Integrity Violations

The following actions constitute Integrity Violations:

  • Revoking Screen Time authorization while Screen Time habits are active
  • Disabling the DNS filter while DNS habits are active
  • Submitting fraudulent verification photos
  • Manipulating HealthKit data
  • Interfering with any monitoring or verification system
  • Creating or using multiple accounts

16.2 Progressive Consequences

First violation: the active day's outcome is marked incomplete for affected habits. Subsequent violations: account suspension and permanent restriction from the Service.

Part Four: Disputes and Resolution

17. Dispute Process

17.1 Scope

Disputes are available for AI photo-verification results only. Disputes are not available for Screen Time, DNS, HealthKit, or missed-submission outcomes, which are derived directly from on-device data you control.

17.2 Filing and Review

File a dispute through the in-app dispute interface, with a written explanation, within 24 hours of the disputed result. Tally will review within 7 days, and that decision is final and binding. If Tally does not respond within 7 days, the dispute resolves in your favor.

17.3 Dispute Abuse

Filing frivolous or abusive disputes may result in suspension of dispute privileges or account termination.

18. Binding Arbitration and Class-Action Waiver

18.1 Mandatory Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration under the JAMS Comprehensive Arbitration Rules and Procedures, on an individual basis, and not in court (except for claims eligible for small-claims court).

18.2 Class-Action Waiver

YOU AND TALLY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

18.3 Procedures

Arbitration shall take place in the State of Delaware or via video conference, governed by Delaware law. For claims under $10,000, Tally will pay all arbitration fees.

18.4 Opt-Out

You may opt out of binding arbitration by sending written notice to arul@tally.kitchen within 30 days of creating your account.

18.5 Canadian Users

Users residing in Canada are subject to the laws of the Province of Ontario and the exclusive jurisdiction of Ontario courts.

Part Five: Accounts, Privacy, and Communications

19. Account Registration and Security

Account authentication is handled via one-time passcode (OTP) through the Coinbase Developer Platform. You agree to provide accurate information, maintain the security of your account and device, and not create multiple accounts. You are responsible for all activity under your account.

20. Privacy

Your use of the Service is governed by our Privacy Policy at tally.kitchen/privacy, which describes what we collect, how we use it, and your rights. Information you provide directly to Coinbase (including identity-verification and payment data) is governed by the Coinbase Privacy Policy.

21. Communications

By creating an account, you consent to receive transactional push notifications related to your habits, commitments, and account activity. You may disable non-essential notifications in settings; you cannot opt out of security- and account-related notifications.

Part Six: Prohibited Conduct

22. Prohibited Uses

You agree not to:

  • Use the Service if you are under 18 or a resident of Quebec
  • Use the Service for any unlawful purpose
  • Tamper with, bypass, or interfere with verification or monitoring systems
  • Submit fraudulent verification photos or manipulate HealthKit data
  • Reverse-engineer, decompile, disassemble, scrape, or interfere with the Service
  • Disrupt or overload the Service's infrastructure
  • Exploit bugs or vulnerabilities in the Service or its smart contracts
  • Use the Service, or your wallet, for money laundering, terrorist financing, or sanctions evasion
  • Harass, abuse, threaten, or impersonate any person or entity
  • Create or use multiple accounts

Violation may result in immediate account termination, forfeiture of active commitment deposits per the smart contract, and reporting to law-enforcement or regulatory authorities.

Part Seven: Disclaimers, Limitation, and Indemnification

23. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TALLY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, ACCURACY OF AI VERIFICATION, CORRECT OPERATION OF SMART CONTRACTS, THE AVAILABILITY OR CONDUCT OF COINBASE SERVICES, OR THE VALUE OR STABILITY OF USDC.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALLY'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL USDC YOU COMMITTED THROUGH THE SERVICE IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) $100 USD.

IN NO EVENT SHALL TALLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF FUNDS, DATA, OR PROFITS, OR FOR ANY ACT OR OMISSION OF COINBASE OR THE BASE NETWORK.

25. Indemnification

You agree to indemnify, defend, and hold harmless TallyHQ, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or applicable law, your infringement of third-party rights, disputes between you and other users, any information you provide, or any tampering with the Service's verification systems.

Part Eight: Regulatory and Legal Matters

26. Financial Regulatory Matters

As described in Section 11, Tally is not a money transmitter or custodian; the regulated wallet, on-ramp, off-ramp, and identity-verification (KYC) functions are provided by Coinbase under its own licenses and terms. Identity verification, where required, is performed by Coinbase. You are solely responsible for determining and paying any taxes applicable to your use of the Service. USDC commitment deposits are not securities, and nothing in the Service is an offer of, or solicitation to buy, any security. The Service complies with applicable sanctions requirements.

27. Digital-Asset Risks

You acknowledge the following risks associated with digital assets:

  • Blockchain transactions are irreversible
  • Smart contracts may contain bugs
  • The Base network may experience outages or degraded performance
  • USDC may lose its peg to the US dollar
  • Coinbase may change, limit, or discontinue its services
  • Regulatory changes may affect the availability or legality of the Service or of digital assets generally

28. Apple Platform Terms

Your use of the Service on Apple devices is subject to the Apple Media Services Terms and Conditions. Apple is not a party to these Terms and has no obligation to provide maintenance, support, or warranty for the Service.

29. Third-Party Services

The Service integrates the following third parties, each subject to its own terms:

  • Coinbase — wallet (CDP), USDC on-ramp (Coinbase Onramp / Coinbase Pay), and USDC off-ramp (Coinbase Offramp)
  • Supabase — backend infrastructure, database, and file storage
  • Google Gemini — AI photo verification (primary)
  • Anthropic Claude — AI photo verification (fallback)
  • NextDNS — encrypted DNS resolution for DNS habits
  • Sentry — crash and error tracking
  • Apple Push Notification service / Expo — push notifications

30. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the courts of Delaware. Users residing in Canada are subject to the laws of the Province of Ontario and the exclusive jurisdiction of Ontario courts.

31. Export Controls and Sanctions

You agree to comply with all applicable US export-control laws, OFAC sanctions regulations, and Canadian export controls. You may not use the Service if you are located in a sanctioned country or are a designated person under any applicable sanctions regime.

Part Nine: General Provisions

32. Termination

You may request account deletion from in-app settings. Deletion may be delayed while you have active habits, pending smart-contract creation, or pending on-chain resolutions, because those commitments must first finish, settle, or be deleted according to the smart contract and these Terms. Tally may suspend or terminate your account for violation of these Terms or applicable law. Upon termination:

  • Active habits are resolved according to their current status and the smart contract
  • Active commitment deposits are resolved on-chain per the smart contract's terms
  • Any remaining wallet balance stays under your control and accessible via the blockchain and Coinbase

33. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

34. Entire Agreement

These Terms, together with the Privacy Policy and the Coinbase agreements incorporated in Section 9, constitute the entire agreement between you and Tally regarding the Service and supersede all prior agreements and understandings.

35. Waiver

Tally's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

36. Assignment

You may not assign or transfer your rights or obligations under these Terms without Tally's prior written consent. Tally may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
